Terms of Service

1. PARTIES AND AGREEMENT

These Terms constitute a legally binding agreement between you ("User") and Arthastra AI, operated by Juan M. Ramirez and Deep Patel ("Arthastra AI," "we," "us," "our"), governing your access to and use of the platform at arthastraai.com.

By creating an account or using the Platform you confirm you are at least 18 years of age and legally capable of entering into this agreement.

2. PLATFORM DESCRIPTION

Arthastra AI is an educational financial technology platform providing:

• Paper trading simulation tools for educational practice only
• ASTRA: an automated trading signal tool for simulator use only
• QUANT_LAB: a quantitative market analysis and research engine for educational use only
• Financial market data aggregation and visualization
• Investment education content and market school resources
• Portfolio tracking within the simulated environment only

THE PLATFORM IS A SIMULATOR. No real money is ever invested, traded, or managed through the Platform. All trades, portfolios, and results are simulated and for educational purposes only.

3. CRITICAL FINANCIAL DISCLAIMER

ARTHASTRA AI IS NOT A BROKER-DEALER, INVESTMENT ADVISER, FINANCIAL PLANNER, OR FIDUCIARY. NOTHING ON THIS PLATFORM CONSTITUTES FINANCIAL ADVICE, INVESTMENT RECOMMENDATIONS, OR A SOLICITATION TO BUY OR SELL ANY SECURITY, CRYPTOCURRENCY, OR OTHER FINANCIAL INSTRUMENT.

Specifically:

• ASTRA, our automated trading signal tool, provides simulated decisions for EDUCATIONAL PURPOSES ONLY
• QUANT_LAB signals are quantitative research tools, not investment recommendations
• Past simulated performance does not indicate, predict, or guarantee future real-world results
• Simulated results may not reflect actual tradeable market conditions
• We do not consider your personal financial situation, goals, or risk tolerance
• No advisory, broker-dealer, fiduciary, or client relationship is created by use of this Platform

IF YOU USE REAL MONEY TO REPLICATE ANY STRATEGY, SIGNAL, OR DECISION SHOWN ON THIS PLATFORM, YOU DO SO ENTIRELY AT YOUR OWN RISK. ARTHASTRA AI BEARS NO RESPONSIBILITY FOR ANY FINANCIAL LOSSES.

4. ELIGIBILITY

You may use the Platform only if you:

• Are at least 18 years of age
• Are in a jurisdiction where use is lawful
• Are not prohibited from receiving financial information under applicable law
• Have not been previously suspended from the Platform
• Agree to use the Platform solely for lawful educational purposes

5. ACCOUNT REGISTRATION AND SECURITY

You agree to:

• Provide accurate registration information
• Maintain security of your account credentials
• Notify us immediately of any unauthorized account access
• Accept responsibility for all activity under your account
• Not share, sell, or transfer your account

We reserve the right to suspend or terminate accounts at our sole discretion for any violation of these Terms.

6. ACCEPTABLE USE

You agree NOT to:

• Use the Platform for any unlawful purpose
• Reverse engineer or attempt to derive source code from the Platform including ASTRA and QUANT_LAB
• Scrape or harvest data through automated means
• Use the Platform to engage in actual securities fraud or market manipulation
• Attempt unauthorized access to any part of the Platform or its infrastructure
• Use the Platform to violate any securities laws or regulations
• Commercially exploit or resell the Platform or its data without written consent
• Use the Platform to develop competing products or services

7. INTELLECTUAL PROPERTY

The Platform, including all software, algorithms, models, data pipelines, trading signals, ASTRA, QUANT_LAB, content, branding, and user interfaces is the exclusive property of Arthastra AI and its founders. All rights are reserved.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial, educational purposes only.

The ASTRA trading signal engine, QUANT_LAB quantitative system, and all underlying models and algorithms are trade secrets and proprietary technology of Arthastra AI. You may not copy, reverse engineer, or attempt to replicate these systems.

8. THIRD-PARTY DATA AND SERVICES

Market data is sourced from third-party providers. We do not warrant accuracy, completeness, or timeliness of any third-party data. Third-party data is provided "as is."

9. ADVERTISING AND AFFILIATE RELATIONSHIPS

The Platform may display third-party advertisements and may participate in affiliate marketing programs. We may receive compensation when users click ads or sign up for third-party services through links on the Platform.

Advertising relationships do not influence our simulated trading signals, ASTRA decisions, or QUANT_LAB analysis.

10. DATA COLLECTION AND PRIVACY

Your use of the Platform is subject to our Privacy Policy and Cookie Policy, incorporated into these Terms by reference. By using the Platform you consent to the data practices described in those policies including collection of usage data, behavioral analytics, and advertising-related tracking where you have provided consent.

11. RISK DISCLOSURE

INVESTING INVOLVES SUBSTANTIAL RISK OF LOSS. You may lose all of your investment. Past performance whether real or simulated does not guarantee future results.

12. DISCLAIMERS OF WARRANTY

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR UNINTERRUPTED AVAILABILITY.

13. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTHASTRA AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID IN THE PRIOR TWELVE MONTHS, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Arthastra AI, its founders, officers, employees, and agents from any claims arising from: your use of the Platform, your violation of these Terms, your violation of any law, or your infringement of any third-party rights.

15. GOVERNING LAW

These Terms are governed by the laws of the State of Wisconsin, United States, without regard to conflict-of-law provisions.

16. DISPUTE RESOLUTION AND ARBITRATION

Informal Resolution: Contact support@arthastraai.com and attempt informal resolution for at least 30 days before filing any formal claim.

Binding Arbitration: Any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

Class Action Waiver: YOU AND ARTHASTRA AI AGREE THAT EACH MAY BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.

17. MODIFICATIONS

We may modify these Terms at any time. Continued use after changes constitutes acceptance.

18. TERMINATION

We may suspend or terminate your access at any time with or without cause. Sections 3, 7, 12, 13, 14, 15, and 16 survive termination.

19. ENTIRE AGREEMENT

These Terms, Privacy Policy, and Cookie Policy constitute the entire agreement between you and Arthastra AI.
